1. Purpose

This agreement governs the relationship between EthicalHub (“Platform”) and suppliers (“Supplier” or “You”), ensuring adherence to ethical standards, compliance with applicable laws, and the implementation of operational best practices to protect all stakeholders involved.

2. Supplier Obligations

2.1 Compliance with Laws and Standards

Suppliers must comply with all applicable laws, regulations, and standards, including but not limited to:

  • Food Safety and Hygiene Regulations: Ensuring all products meet required safety and hygiene standards.
  • Ethical Sourcing and Labor Practices: Adhering to fair labor practices, prohibiting child and forced labor, and ensuring fair wages and safe working conditions.
  • Environmental Sustainability Laws: Complying with environmental regulations and implementing sustainable practices.
  • Relevant Certifications: Maintaining necessary certifications (e.g., organic, fair trade, sustainable) and providing valid documentation upon request.

2.2 Product Quality and Liability

  • Quality Assurance: Guaranteeing that all products meet agreed-upon quality specifications and are free from defects.
  • Safety Standards: Ensuring products comply with applicable safety and labeling requirements.
  • Recalls: Informing EthicalHub immediately in the event of a product recall and taking necessary corrective actions.
  • Liability: Accepting full liability for any damages, losses, or claims arising from non-compliance or defective products.

2.3 Certification and Documentation

  • Provision of Certifications: Supplying valid certifications upon request.
  • Audits and Inspections: Agreeing to undergo periodic audits and inspections by EthicalHub or third-party auditors to verify compliance.

2.4 Ethical Practices and Sustainability

Suppliers must adhere to EthicalHub’s ethical standards, which include:

  • Prohibition of Child and Forced Labor: Ensuring no use of child labor or forced labor in any operations.
  • Fair Wages and Safe Working Conditions: Providing fair wages and ensuring safe and hygienic working conditions for all employees.
  • Environmental Sustainability: Implementing environmentally sustainable practices in production and packaging.

3. Operational Requirements

3.1 Delivery and Fulfillment

  • Timely Delivery: Ensuring timely delivery according to agreed schedules.
  • Communication of Delays: Promptly communicating any delays and taking corrective actions to mitigate disruptions.
  • Secure Packaging: Packaging products securely to avoid damage during transit.

3.2 Inventory Management

  • Adequate Inventory Levels: Maintaining sufficient inventory levels to meet demand.
  • Real-Time Updates: Updating EthicalHub in real-time regarding inventory shortages or changes.

4. Financial Terms

4.1 Payment Terms

  • Payment Schedule: Payments will be made according to the schedule agreed upon between EthicalHub and the Supplier.
  • Dispute Reporting: Reporting any payment disputes within seven (7) days of receipt.
  • Withholding Payments: Acknowledging that EthicalHub may withhold payments if there are unresolved disputes regarding product quality or delivery.

4.2 Pricing and Discounts

  • Honoring Pricing Agreements: Adhering to agreed-upon pricing, with any changes communicated in advance.
  • Written Agreements for Discounts: Ensuring volume discounts or promotional pricing are agreed upon in writing.

5. Indemnification and Insurance

5.1 Indemnification

Suppliers agree to indemnify, defend, and hold harmless EthicalHub, its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Non-compliance with laws or regulations.
  • Product defects or safety issues.
  • Breach of any clause in this agreement.

5.2 Insurance Requirements

  • Product Liability Insurance: Maintaining product liability insurance with sufficient coverage.
  • Proof of Insurance: Providing proof of insurance to EthicalHub upon request.

6. Confidentiality and Data Protection

  • Confidentiality: Maintaining the confidentiality of all proprietary information shared by EthicalHub.
  • Data Protection: Processing personal data in compliance with data protection regulations (e.g., GDPR).

7. Termination Clause

EthicalHub reserves the right to terminate this agreement if:

  • The Supplier fails to comply with any clause outlined in this agreement.
  • The Supplier engages in unethical, illegal, or harmful practices.
  • There is repeated failure to meet product quality or delivery standards.

Upon termination, all outstanding obligations must be settled within thirty (30) days.

8. Dispute Resolution

Disputes shall be resolved through a multi-step process:

  • Negotiation: The parties will first attempt to resolve the dispute through good-faith negotiation.
  • Mediation: If negotiation fails, the dispute will be referred to a neutral mediator.
  • Arbitration: If mediation fails, disputes will be settled through binding arbitration under the jurisdiction of EthicalHub’s operating region.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where EthicalHub operates, without regard to its conflict of law principles.

13. Amendments

EthicalHub may revise these Terms from time to time. Users will be notified of significant changes, and continued use of the Platform after such changes constitutes acceptance of the new Terms.
