Buyers T&Cs

1. Acceptance of Terms
By registering or using the EthicalHub platform (“Platform”), you (“User” or “Buyer”) agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you are prohibited from using the Platform.
2. Definitions
- Platform: The online marketplace operated by EthicalHub that connects buyers with suppliers.
- User/Buyer: Any individual or entity registered to purchase products through the Platform.
- Supplier: Any individual or entity offering products for sale on the Platform.
3. Use of the Platform
3.1 Role of EthicalHub
EthicalHub acts as a facilitator connecting Buyers with Suppliers and does not assume liability for product quality or delivery failures. The Platform is provided “as is,” and EthicalHub disclaims all warranties, express or implied.
3.2 User Conduct
Users agree to use the Platform ethically and solely for lawful business purposes. Prohibited actions include, but are not limited to:
- Engaging in fraudulent activities.
- Violating any applicable laws or regulations.
- Infringing on the intellectual property rights of others.
4. Account Registration
Users must provide accurate and complete information during registration and keep their account information updated. Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
5. Transactions
5.1 Product Inspection and Acceptance
Buyers must inspect products upon delivery and report any defects or non-compliance within five (5) business days. Failure to report issues within this timeframe will be deemed acceptance of the products.
5.2 Compliance with Food Safety and Handling
Upon delivery, Buyers must adhere to food safety standards and proper handling procedures as specified by Suppliers. Buyers are responsible for ensuring that products are stored and used in accordance with Supplier instructions.
6. Financial Terms
6.1 Payment Terms
Buyers agree to pay invoices within the timeframe specified in the purchase order or contract. Late payments may incur penalties as outlined in the agreement. EthicalHub reserves the right to suspend Buyer accounts for repeated late payments.
6.2 Dispute Resolution for Payments
Any payment disputes must be raised within seven (7) days of receiving the invoice. Disputes will be resolved through EthicalHub’s established dispute resolution framework.
7. Intellectual Property
All content on the Platform, including text, graphics, logos, and software, is the property of EthicalHub or its content suppliers and is protected by intellectual property laws. Unauthorized use of such content is prohibited.
8. Limitation of Liability
Buyers acknowledge that Suppliers bear primary responsibility for product quality and compliance. EthicalHub’s liability is limited to facilitating transactions and does not extend to product-related claims. In no event shall EthicalHub be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Platform.
9. Data Privacy and Confidentiality
EthicalHub will process Buyer data in compliance with applicable data protection regulations (e.g., GDPR). Buyers agree to maintain the confidentiality of any proprietary information received from EthicalHub or Suppliers.
10. Termination
EthicalHub reserves the right to terminate or suspend a User’s access to the Platform if:
- The User breaches any terms of this agreement.
- The User engages in unethical, fraudulent, or harmful activities on the Platform.
- Repeated payment failures occur.
Upon termination, Users must settle all outstanding obligations within thirty (30) days.
11. Dispute Resolution
Disputes will be handled in a structured process:
- Negotiation: Initial resolution through direct communication.
- Mediation: Escalation to mediation if negotiation fails.
- Arbitration: Binding arbitration for unresolved disputes.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction where EthicalHub operates, without regard to its conflict of law principles.
13. Amendments
EthicalHub may revise these Terms from time to time. Users will be notified of significant changes, and continued use of the Platform after such changes constitutes acceptance of the new Terms.
